These Terms of Service ("Terms") govern your access to and use of the services provided by Aliens Digital ("we," "our," or "us"). By engaging our services, visiting our website, or otherwise using our offerings, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
1. Services
Aliens Digital provides AI-powered marketing services, including but not limited to: Generative Engine Optimization (GEO), Answer Engine Optimization (AEO), local SEO, AI-driven content creation, web design, and digital marketing strategy. The specific scope of services will be defined in a separate agreement or proposal.
2. Client Obligations
You agree to provide timely access to necessary materials, accounts, and information required for us to perform the services. You represent that you have the authority to engage us and that any content or information you provide does not infringe on any third-party rights.
3. Fees & Payment
Fees for our services are set forth in your proposal or service agreement. Payment terms are net 15 days from the invoice date unless otherwise agreed in writing. Late payments may be subject to a 1.5% monthly service charge. We reserve the right to suspend services for accounts more than 30 days past due.
4. Intellectual Property
All deliverables created specifically for you under a paid engagement become your property upon full payment. We retain ownership of our proprietary tools, frameworks, methodologies, and any pre-existing intellectual property incorporated into deliverables. You grant us a limited license to use your trademarks and content solely to perform the services.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the agreement for a period of three years, or indefinitely for trade secrets.
6. Limitation of Liability
To the maximum extent permitted by law, our total liability shall not exceed the total amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. Marketing outcomes depend on many factors outside our control; we do not guarantee specific rankings, traffic, or revenue results.
7. Term & Termination
Either party may terminate the engagement with 30 days' written notice. You remain responsible for all fees incurred prior to termination. Upon termination, we will deliver any completed work and return or destroy your confidential materials.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in King County, Washington.
9. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our services after any changes constitutes acceptance of the revised Terms.
